A corporation is defined as a legal entity which separates the liability of the business from that of the owner’s. In other words, when structured properly and used properly the owner of a corporation cannot be held personally liable for lawsuits filed against the business and the owner’s credit cannot be affected by the debts of the business.

The “C” Corporation is a term used to identify a gerneral corpoiration, also known as the Straight or Regular Corporation. The “C” corporation is the corporation of choice for most small business owners, due to its operating flexibility. Owners and shareholders can be added or terminated at any time without changing the structure of the business.
A professional Corporation is a Corporation that povides professional services, formed and operated by professional licensed people only. Profesional license as defined in most states are Physicians, Attorneys, Accountants, Engineers, Architects, and any other licensed professional people, licensed by the state.
The “S” corporation which is also known as the sub-chapter S corporation is a “C” corporation tat hs certain tax rights which allows the profits ad losses of the corporation to be passed to the owners (shareholders). The shareholders can report thes profits or losses on their personal tax return, much like that of a Sole Proprietorship or partnership. In order for a corporation to be taxed as an “S” corporation, the corporation must make this selection and obtain the “S” status from the IRS.
A Nonprofit Corporation is designed by each state law not to make a profit or enrich any individual member, officer, or director of the corporation. A Nonprofit Corporation is formed for the benefits of others, such as Community Projects, Religious Organizations, Social Clubs, Business Associations, Civic Leagues, Unions and other special groups.

 

A Nonprofit Corporation can make money and most do, but the primary purpose of a Nonprofit Corporation is to promote Charities, Religious, Scientific, and Educational benefits. Most nonprofit Corporations can be tax exempt but must obtain a 501 (C) (3) Tax Exempt Status from the IRS.

An LLC is an unincorporated but registered entity, a cross between a “C” Corporation, an “S” Corporation and a General Partnership. It was first created to give partners in a general partnership, protection from the liabilities of the business. Similar to the “C” corporation, the owners or partners are not liable for the debts or contractual obligation of business. In other words, the liabilities of an LLC owner are the same as that of a corporation.

 

The profits or losses of an LLC are pasted to the partner (owners) similar to that of an “S” corporation. The profits or losses are split among the partners based on their % of ownership and reported on their personal tax return. Prior to the exciting of the LLC partners of a business had no protection from the business or from each-other. The limited liability of the owner of a partnership business is the single greater advantage of an LLC.

Contrary to some financial experts who say that an LLC requires fewer documents to establish and maintain the LLC than a corporation, in our experience here at CAPA, they are about the same.

A corporation must submit Articles of incorporation. An LLC must submit Articles of LLC.

A corporation must submit a list of officers and directors. A LLC must submit a list of members and managers.

Like a corporation to protect and safeguard the capital and other interest of an owner, most LLC Acts contain certain record-keeping requirements. An LLC is required to keep the following records:

  • A record of the name and address of each member and each manager.
  • A copy of the articles of organization and all amendments.
  • A copy of each currently effective operating agreement.
  • Copies of all recent LLC financial statements.
  • Copies of all recent LLC income tax returns.
  • A statement describing the capital contributions made or to be made by each member.
A Limited Partnership is having one or more limited partners and one or more general partners. If you are a general partner you can have complete control over all of the assets in the Limited Partnership, even though your ownership interest is very small.

 

The liability of a Limited Partner for partnership debts or obligation is limited to the extent of the capital he or she or an entity has contributed or agreed to contribute. The limited partners cannot share in the management or control of the Limited Partnership without forfeiting their Limited Liability.

The Limited Partnership is generally one of the best ways to own family or business assets, generally precludes a creditor of one of the partners from seizing assets held by the partnership.

Using a Limited Partnership form of assets (when created properly) ownership is beneficial in three ways:

    • 1. It is a lawsuit protection device

    • 2. You can separate income among family members to lower overall family income taxes

    3. It can be an advanced estate planning to convey interest to children doing their parent’s lifetimes and reducing state taxes upon their deaths.
